ASSET SWAPS STRUCTURING AND NEGOTIATION

  • Complex asset swap operation between four companies in three countries.
  • Objectives: To lead the operation in Spain. To review the assets of the other companies and establish the criteria for selecting the assets that our client should give in exchange. To participate in the negotiation team of the global operation (between the four companies).
  • The preparatory work for the negotiation required a visit to all sites and the detailed analysis of all assets within 15 days, as well as the establishment of different strategies and scenarios. Once the assets were theoretically distributed, reaching an agreement was not easy, given the cultural aspects associated with negotiations involving French, Italians, Spanish and Portuguese.
  • The deal resulted in win-wins for all parties, with overall and individual optimisations and synergies.
